This Investor Charter is prepared and published in accordance with SEBI Circular No. SEBI/HO/MIRSD/MIRSD-PoD/P/CIR/2025/81 dated June 2, 2025, and the SEBI Master Circular for Research Analysts dated February 6, 2026 (Ref: HO/38/12/11(1)2026-MIRSD-POD/I/4360/2026). It is a mandatory disclosure for all SEBI Registered Research Analysts.
1. Introduction
This Investor Charter is in respect of Research Analyst (RA) services provided by We Capitalize, setting out our vision and mission, the services we provide, the grievance redressal mechanism, and the rights and responsibilities of investors dealing with us.

3. Details of Business Transacted by the Research Analyst
The following are the details of business transacted by We Capitalize as a Research Analyst with respect to investors:
- To publish research reports based on the research activities of the RA.
- To provide an independent, unbiased view on securities.
- To offer unbiased recommendations, disclosing the financial interests in recommended securities.
- To provide research recommendations based on analysis of publicly available information and known observations.
- To conduct an audit annually.
- To ensure that all advertisements adhere to the provisions of the Advertisement Code for Research Analysts.
- To maintain records of interactions with all clients, including prospective clients (prior to onboarding), where any conversation related to the research services has taken place.
4. Details of Services Provided to Investors
No Indicative Timelines: The services described below are provided on an ongoing basis. No specific turnaround timelines are indicated except where explicitly stated.
A. Onboarding of Clients
- Sharing of terms and conditions of research services.
- Completing KYC of fee-paying clients.
B. Disclosure to Clients
- To disclose information that is material for the client to make an informed decision — including details of business activity, disciplinary history, terms and conditions of research services, details of associates, and any risks and conflicts of interest.
- To disclose the extent of use of Artificial Intelligence tools in providing research services.
- While distributing a third-party research report, to disclose any material conflict of interest of such third-party research provider, or provide a web address that directs the recipient to the relevant disclosures.
- To disclose any conflict of interest of the activities of providing research services with other activities of the Research Analyst.
C. Ongoing Standards of Service
- To distribute research reports and recommendations to clients without discrimination.
- To maintain confidentiality with respect to publication of a research report until it is made available in the public domain.
- To respect data privacy rights of clients and take measures to protect unauthorised use of their confidential information.
- To disclose timelines for the services provided and ensure adherence to those timelines.
- To provide clear guidance and an adequate caution notice when recommending complex and high-risk financial products or services.
- To treat all clients with honesty and integrity.
- To ensure confidentiality of information shared by clients, unless required to be provided in furtherance of a legal obligation or where the client has given specific consent.
5. Grievance Redressal Mechanism
An investor may lodge a complaint or grievance against the Research Analyst through the following channels, in the order described below:

Approach the Research Analyst Directly
In case of any grievance, an investor may approach the concerned Research Analyst, who shall strive to redress the grievance immediately, and not later than 21 days of receipt of the grievance.

SCORES 2.0 / RAASB
File the complaint on SCORES — SEBI's web-based centralised grievance redressal system — at scores.sebi.gov.in. Complaints follow a two-level review: first by the designated body (RAASB), then by SEBI. Investors may also email the designated email ID of RAASB.

SMART ODR — Online Dispute Resolution
If not satisfied with the resolution through the above channels, the investor may file the complaint or grievance on the SMART ODR platform for resolution through online conciliation or arbitration.

6. Rights of Investors
As per the SEBI Investor Charter for Research Analysts, you are entitled to the following rights when dealing with We Capitalize (Gowtham Kumaresh, SEBI Registered Research Analyst, INH000028981):

Your personal data and information will be kept confidential and protected from unauthorised use.
Right to Transparent Practices
You have the right to expect transparent conduct in all research and service activities.
Right to Fair and Equitable Treatment
Research reports and services shall be distributed without discrimination across all subscribers.
Right to Adequate Information
You have the right to receive all material information needed to make informed investment decisions.
Right to Initial and Continuing Disclosure
You have the right to receive disclosures at onboarding and on an ongoing basis as material information changes.
Right to Fair & True Advertisement
All communications and advertisements from the RA must be truthful, accurate, and compliant with SEBI's Advertisement Code.
Right to Awareness about Service Parameters and Turnaround Times
You have the right to be informed of the service parameters and the timelines applicable to each service.
Right to be informed of timelines for each service
You have the right to receive clear information about the expected timelines for each service offered.
Right to be Heard and Satisfactory Grievance Redressal
You have the right to raise grievances and receive a fair, timely response.
Right to timely redressal
You have the right to timely resolution of grievances, not later than 21 days from the date of receipt.
Right to Exit from a financial product or service per agreed terms
You have the right to exit from any service as per the agreed terms without any coercive clauses.
Right to clear guidance and caution notice for complex / high-risk products
You have the right to receive clear guidance and an adequate caution notice when complex or high-risk products are recommended.
Additional rights to vulnerable consumers, including differently-abled access
Additional rights and support are provided to vulnerable consumers, including differently-abled investors, to ensure equitable access.
Right to provide feedback on products and services used
You have the right to provide feedback on the products and services used without fear of any negative consequences.
Right against coercive, unfair and one-sided clauses in financial agreements
You have the right not to be bound by any coercive, unfair, or one-sided clause in any agreement that contravenes regulatory provisions.
7. Expectations from Investors (Responsibilities)
As per the SEBI Investor Charter for Research Analysts, the following Do's and Don'ts apply to investors dealing with any SEBI Registered Research Analyst:
Do's
- Always deal with a SEBI-registered Research Analyst and ensure a valid registration certificate.
- Check the SEBI registration number against the list of registered RAs on the SEBI website at sebi.gov.in/intermediaries .
- Always pay attention to disclosures made in research reports before investing.
- Pay your Research Analyst through banking channels only and keep duly signed receipts. You may pay via the Centralised Fee Collection Mechanism (CeFCoM) of RAASB where opted (fee-paying clients only).
- Before buying or selling securities or applying in a public offer, check the research recommendation provided.
- Ask all relevant questions and clear your doubts before acting on a recommendation.
- Be aware of your right to stop availing the service, to provide feedback, and to not be bound by any clause contravening regulatory provisions.
- Inform SEBI about any Research Analyst offering assured or guaranteed returns.
Don'ts
- Do not provide funds for investment to the Research Analyst. The RA is prohibited from managing or investing funds on your behalf.
- Don't fall prey to luring advertisements or market rumours.
- Do not get attracted to limited-period discounts, incentives, or gifts offered by a Research Analyst.
- Do not share login credentials and passwords of your trading, demat, or bank accounts with the Research Analyst.
